The short version
PaidProof reads your payment data. It never moves money, and you can disconnect at any time. Invite only people who actually paid you, and follow the law when you email them. “Verified” means a matching payment existed when we checked. It does not mean we vouch for what a review says. One month free, then paid plans bill monthly. Cancel any time and access runs to the end of the period you paid for. You own your content. We use it only to run PaidProof for you.
This summary helps you find your way. The sections below are the actual terms.
1Who we are and what this covers
These terms are an agreement between you and PaidProof (“PaidProof”, “we”, “us”). They cover paidproof.co, the dashboard at app.paidproof.co, the embeddable widget, public verification reports, and the emails we send on your behalf (together, the “Service”).
By creating an account or using the Service you agree to these terms. If you use PaidProof for a company, you confirm you can bind that company, and “you” means the company.
2Your account
- PaidProof is a tool for businesses. You must be at least 18 and using it for your business.
- Give us accurate details and keep your email address current. We send billing and security notices there.
- You are responsible for everything done through your account and your workspaces, including by teammates you invite. Tell us at once if you think someone got in who should not have.
3What PaidProof does
PaidProof connects to your payment processor, invites your paying customers to leave a review, checks each review against a real payment, and lets you show verified reviews on your site with a widget. Each verified review can link to a public report that anyone can open.
We improve the Service continuously, which means features change, and features marked beta may change or be removed. When a change takes away something you pay for, we will tell you in advance.
4Payment processor connections
When you connect Stripe, Paddle, Lemon Squeezy or another supported processor, you authorize us to read the customer and payment records we need to find your customers and verify their reviews. We ask for read-only access wherever the processor offers it. We never create charges, issue refunds, or move money.
You confirm you are allowed to grant that access. You can revoke it at any time, in PaidProof or in the processor's own settings. Once it is revoked, new reviews can no longer be verified against that account.
5Reviews and the people who write them
- Invite real customers only. Every invitation must go to someone who actually paid you.
- You are the sender. Review invitations go out in your name and to your customers. You are responsible for having a lawful basis to email them and for honoring unsubscribes and objections.
- Reviewers speak for themselves. A reviewer grants you and us the right to publish their review, name, and the verification details they agreed to share, in the widget and on their public report.
- Takedowns. If a reviewer asks for their review to come down, archive or delete it promptly. We may remove it ourselves if you do not.
- No rewriting. You can archive or delete a review, but you cannot change its words. A review shown as verified is always what the reviewer wrote.
6What “verified” means
A verified badge means that when we checked, your payment processor held a payment from the reviewer that met the verification rules. Optional badges, such as a LinkedIn identity or a length of subscription, mean the reviewer connected that account or had paid for that long when we checked.
Verification confirms provenance. It is not our endorsement of your product, and we do not confirm that a reviewer's opinions or claims are accurate. We rely on the data your processor and identity providers return, so we cannot catch fraud committed against them.
7Acceptable use
Do not use PaidProof to:
- fabricate reviews, review your own product, or have staff, relatives or paid reviewers pose as customers;
- offer anything in exchange for a review unless you disclose it and it does not depend on the review being positive;
- present a selection of reviews as if it were all of them, or otherwise mislead visitors about what your customers think;
- send spam, or email people who have not paid you;
- break the law, including consumer-protection, advertising, privacy and anti-spam law;
- probe, overload or reverse-engineer the Service, get around its limits, or access other customers' data.
You are responsible for how your reviews are used in your marketing, including any rules on reviews and testimonials that apply where you sell.
8Trial, plans and billing
- Free trial. New accounts get one month free with full access, and no card is needed to start. When the trial ends, keeping paid features requires a paid plan.
- Subscriptions. Paid plans are billed monthly in advance through Stripe, at the price shown when you subscribe, and renew automatically until you cancel.
- Cancelling. Cancel any time from your billing settings. You keep access until the end of the period you already paid for, and you are not charged again.
- Refunds. Payments are not refunded for partial periods, except where the law requires it.
- Price changes. We will email you at least 30 days before a new price applies to you. It takes effect at your next renewal after that notice.
- Taxes. Prices exclude taxes unless stated. You pay any taxes that apply.
- Failed payments. If a payment fails and is not fixed after we notify you, we may pause paid features until it is.
9Your content and data
You own what you bring to PaidProof: your workspace settings, your widget designs, and the customer data you connect. You give us permission to host, process, display and send it only as needed to run the Service for you, including showing published reviews and reports publicly.
For personal data about your customers, you decide why it is processed and we process it on your behalf, only to provide the Service. We keep it secure, do not sell it, and do not use it for anyone else. If you need a data processing agreement, email us.
Widgets and verification reports are public by design. Anything you publish through them can be seen, linked and copied by anyone.
10Our software and brand
The Service, the widget code, the PaidProof name and logo, and the verification badges belong to us. You may embed the widget and link to reports as the Service intends. You may not copy the Service, resell it, or use our badges on reviews that PaidProof did not verify.
If you send us feedback or ideas, we may use them without owing you anything.
11Third-party services
PaidProof works with services run by others: payment processors (Stripe, Paddle, Lemon Squeezy), identity providers (LinkedIn), email delivery, hosting, and Cal.com for booking calls. Their own terms apply to your use of them. We are not responsible for their availability or for changes they make that affect what PaidProof can do.
12Suspension and closing your account
You can stop using PaidProof and delete your workspaces at any time. We may suspend or close an account that breaks these terms, puts other customers or reviewers at risk, or has not paid. Where we can, we will tell you first and give you a chance to fix it.
When an account closes, its widgets stop showing reviews and its public reports go offline. We then delete its data within a reasonable time, except records we must keep by law.
13Disclaimers
We work hard to keep PaidProof accurate and available, but the Service is provided “as is” and “as available”. To the extent the law allows, we make no other promises, including that it will be uninterrupted or error-free, or that showing verified reviews will increase your sales.
14Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue, data or goodwill. Our total liability for all claims about the Service is limited to the greater of what you paid us in the 12 months before the claim and US$100.
Nothing in these terms limits liability that cannot be limited by law.
15Indemnity
If someone brings a claim against us because of your content, the emails sent to your customers at your request, or your breach of these terms, you will cover our reasonable costs of dealing with it.
16Changes to these terms
We may update these terms as PaidProof grows. For a change that matters, we will email account owners at least 14 days before it applies. The date at the top always shows the current version. If you keep using the Service after a change applies, the new terms apply to you.
17Governing law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Disputes go to the courts of Ontario, Canada, unless the law where you are gives you the right to bring them elsewhere.
Before going to court, email us and give us 30 days to try to resolve the problem.
